A Vanuatu Passport for a Singapore Deal: Planning Back from the Signing Date

What the applicant came with

Eduard is 48. He has spent twenty years in trade and the last six living in Istanbul. His company buys equipment from factories in Asia and sells it in Turkey and the Gulf.

He has worked with his Singapore partners for eight years. First one-off deliveries, then regular ones. In spring they calculated together that a joint purchasing company in Singapore would cut logistics costs for both sides by up to a tenth.

The partners proposed pooling purchasing in a joint company with an office in Singapore. One condition: Eduard personally sits on the board.

His passport is Russian, and Singapore requires a visa before every trip. Last spring one such visa arrived two days before his flight, and for a whole week he did not know whether he would fly.

He needed a passport not someday, but by a specific date: 20 January, signing in Singapore.

The first question and an honest answer

Eduard started with the key question: can you guarantee we will make it? The lawyer answered honestly. Nobody can guarantee a date; decisions and sittings are set by the Vanuatu Citizenship Commission.

But it is possible to work out whether it is realistic. Three and a half months remained before signing. Vanuatu citizenship usually takes 2-3 months from filing. If documents were filed in mid-October and not a week was lost, there would be a buffer.

The lawyer also said something else straight away. If documents from Russia were delayed by more than a month, he would warn Eduard early, not the night before signing. Eduard liked that answer more than any promise.

There was something to compare. Programmes that take more than four months did not fit. Vanuatu fitted both the timeline and the main task: no residence requirement, and Singapore open without a visa.

The lawyer also asked whether any family members should be included. His wife and adult children live in Istanbul and do not travel to Singapore, so they decided to file for Eduard alone. The package was shorter and the timeline safer. Family can be added to citizenship later with a separate application.

The meeting ended with a signed contract the same day. Eduard said he does not usually decide that fast, but here every week counted.

Donation or fund: simple for one person

For one person the donation costs USD 135,000 including the due diligence fee. The coconut oil fund costs 165,000, with 50,000 returned after five years.

For the deal something else mattered more. The fund payment is due with the full package at filing. The donation is paid only after approval. For all three months of waiting the main sum stayed with Eduard and kept working in his purchasing.

A plan built back from 20 January

The lawyer took a calendar and worked from the last date to the first. The passport is needed before 20 January. It is issued 1-3 weeks after approval and biometrics. The Commission meets twice a month. The full package is filed no later than five days before a sitting.

That meant the due diligence opinion had to be ready in October. So the documents for it had to be filed mid-month. Two weeks after the first meeting.

Why exactly 14 October? Due diligence takes up to seven working days. Then a week is needed to assemble the full package. And it has to be filed five days before the 10 November sitting. Each date rested on the one before, like links in a chain.

What mattered in this plan was not the dates but the buffer. The lawyer built in one extra Commission sitting from the start. If due diligence asked a question, the application would simply move to the next sitting, and the passport would still arrive before New Year.

Eduard pinned a printout of the plan in his office. He said he plans deliveries the same way: back from the shipping date. He crossed off each date with a marker as it passed, like in a warehouse.

What the partners’ lawyers asked for

A week after the first meeting Eduard had another task. The Singapore partners’ lawyers sent a list of documents for the future director: passport, proof of address, source of funds for the capital contribution.

He asked which passport to use if a second one arrived by January. Our lawyer suggested a simple order. Use the valid Russian passport in the company documents now. Once the Vanuatu passport is issued, tell the partners and add it to the director’s details.

The money documents came in handy twice. The same dividend set we prepared for Vanuatu due diligence went, once translated, to the partners’ lawyers too. Eduard did not have to gather the same papers twice.

The lawyer also drafted a short email in English for the partners: what stage the application was at and when the passport was expected. The partners got a clear schedule and stopped asking about timing on every call.

Two weeks for documents: what was ordered on day one

A short deadline calls for order, not haste. On the first day after the contract we ordered what takes longest: the Russian police certificate and an apostille on the birth certificate.

Eduard did not plan to travel to Russia. He obtained the certificate through a representative under a power of attorney signed in Istanbul. While it was being made, we gathered everything else.

He had his medical check at a private clinic in Istanbul in one morning. We sent the report form to the clinic in advance so the doctor filled in every item the Commission requires. Photos were taken at a studio using our guide, right the first time.

The certificate from Russia arrived on day nine. The representative had it apostilled the same day and couriered it to Istanbul.

Dividends from a Turkish company

Eduard funded the donation with dividends from his company in Turkey. The Turkish accountant sent the payout decision in Turkish and without a stamp. We asked for it to be reissued with the company stamp and sent it straight to translation.

Company and personal bank statements showed the money moving from profit to payment. Amounts and dates matched to the dollar. How money is checked is covered in applicant due diligence.

The package went to due diligence on 14 October, exactly on plan. The first date on the office wall was crossed off.

The request that used up our buffer

The due diligence opinion came on 23 October. The full package went to the Commission for the 10 November sitting. And then a request arrived.

The Commission asked why Eduard had lived in Turkey for six years but also had Russian tax returns for the first two. Nothing alarming: at the time he still earned income from an old Russian company and paid his taxes.

Eduard got nervous: was it all falling apart? The lawyer reminded him of the reserve sitting. It was in the plan for exactly this.

In three days we prepared the reply. A short explanatory letter in English. An extract from the Russian registry on the liquidation of the old company. His Turkish residence permit with the date of first issue. Recent tax returns, now from Turkey.

Together the papers told a simple story: there was a business in Russia, it was closed, the man moved and pays taxes in his new country. The application moved to the 24 November sitting and was approved.

The reserve sitting in the plan looked unnecessary. It was needed exactly once, and that is why the passport arrived on time.

November: waiting for the sitting

While the application was with the Commission, Eduard got on with normal life: purchasing, shipments, negotiations. But he asked about the passport almost every day.

The lawyer suggested an arrangement: a status update every Tuesday, and same-day messages if anything happened. That is how it worked. The “any news?” messages dropped off noticeably.

He bought flights to Dubai for biometrics in advance, with a flexible fare. The lawyer had advised this back in October: the exact date depended on the sitting, and there was no point paying to change tickets.

After approval Eduard paid the donation and took the oath. Biometrics remained. They are given in person in one of five cities: Port Vila, Dubai, Hong Kong, Moscow or Saint Petersburg.

From Istanbul Dubai is the most convenient, especially as Eduard has a buyer there. The lawyer booked him for the morning of 3 December. By the afternoon he was in negotiations.

At the consulate it took about half an hour: fingerprints, photo, signature, passport check. The lawyer had reminded him to bring the original Russian passport used for the application.

Under the plan the passport is issued by mid-December, a month before signing. Eduard admitted he breathed out for the first time that autumn.

January: signing in Singapore

Under this plan Eduard has a Vanuatu passport a month before signing. In January he flies to Singapore without a visa and signs the agreement in person. The outcome is described as expected: decisions and sittings are set by the Citizenship Commission.

Before the trip the lawyer reminded him of the small things. Buy the ticket on the passport you travel with. Fill in the Singapore arrival card with the Vanuatu passport. Leave and enter Russia on the Russian passport.

Eduard keeps his Russian citizenship: Vanuatu does not require giving it up. In Russia a second citizenship must be reported to the Interior Ministry within 60 days, and the lawyer reminded him of that separately.

At Singapore airport Eduard will cross the border on his Vanuatu passport. His folder will hold no visa printout and no invitation letters. For the first time in years he will fly to negotiations without a backup plan in case the visa does not come.

The next board meeting in Singapore is set for April. No visa is needed for it.

Who a date-driven application suits

This kind of plan works when at least three months remain before the target date. Documents from the home country can be obtained in a couple of weeks. And the money can be documented without a long search.

If the window is shorter, we say so at the first meeting. An honest “we won’t make it” is better than a failed deal.

If you have a date too, bring four things to the first meeting: the date and what depends on it, a copy of your passport, where the money for the donation sits, and the countries you have lived in over the last ten years. That is enough to tell within an hour whether the timeline is realistic.
